Terms of Registration

These terms form part of the Registration Form (together the “Agreement”) agreed between EckoEnterprise and the individual named in the Registration Form ("Registrant"). In the event of any conflict between these terms and the Registration Form then the Registration Form shall prevail.

1. Definitions

1.1 “Arm” means EckoEnterprise Limited, 110 Fulbourn Road, Cambridge, CB1 9NJ, United Kingdom and any company the majority of whose voting shares is now or in the future, owned or controlled, directly or indirectly, by EckoEnterprise Limited.

1.2 “Cancellation” has the meaning given in clause 7.2.

1.3 “Business” means an individual that attends the event in the course of their trade, business, craft or profession and not as a Consumer.

1.4 “Confidential Information” means all confidential and proprietary information disclosed by or on behalf of each party to the other, whether disclosed verbally, in writing or by inspection of tangible objects, including without limitation information about products and services, business plans and models, forecast information, road maps, pricing, technical and engineering data, research and development, know-how, trade secrets, customers and potential customers.

1.5 “Confirmation” means an email from EckoEnterprise confirming that the Registrant’s booking onto an Event has been accepted in accordance with section 4.2.

1.6 “Consumer” means any individual that is acting for purposes that are wholly or mainly outside that individual's trade, business, craft or profession.

1.7 “Effective Date” means the date the Registrant receives a Confirmation.

1.8 “Event” means the EckoEnterprise TechSummit Event, which is due to be held on 19-21 October, 2021 as a virtual online event.

1.9 “Force Majeure Event” means any circumstance not within a party's reasonable control.

1.10 “Registration” means the contract made between EckoEnterprise and the Registrant in relation to the Event under this Agreement.

1.11 “Registration Deadline” means any registration deadline date shown on the Event website at www.Armtechsummit.com.

1.12 “Registration Fee” means the fee payable for the Registrant to attend the Event as set out in the Registration Form.

1.13 “Registration Form” means the registration form submitted by the Registrant for the Event that links to these terms.

1.14 “Substitute” has the meaning given in section 7.5.1.

1.15 “Substitution” has the meaning given in section 7.5.

2. Eligibility To Attend The Event

2.1 Registrants must be 18 years of age or older in order to attend this Event unless otherwise agreed by Arm:

2.1.1 This Event is a trade-only event and it is not open to the general public.

2.1.2 Friends, family and children will not be granted access to the Event unless agreed otherwise by Arm

3. Registering For The Event

To Register for the Event, Registrants must complete the Registration Form before the Registration Deadline.

3.2 If an individual is registering on behalf of anyone else then they warrant that they are authorized to:

3.2.1 act on behalf of the other person(s),

3.2.2 complete the Registration Form,

3.2.3 accept the terms of the Agreement on behalf of the other person(s), and

3.2.4 the information submitted in the Registration Form is accurate.

3.3 An individual registering on behalf of anyone else agrees to:

3.3.1 be solely liable for damages as a consequence of any information submitted,

3.3.2 indemnify and hold armless EckoEnterprise and/or EckoEnterprise producer(s) or their directors, officers, employees, agents and affiliates from all liability, damages, costs and judgments for any claims brought by or on behalf of any third party arising from the individual’s behavior, conduct, misconduct or negligence in completing the Registration Form on behalf of anyone else, and (b) provide a copy of the terms of the Agreement to those that are being registered. An individual registering on behalf of anyone else agrees to be jointly liable for any breach of the terms of the Agreement by any person(s) that is registered by the individual.

3.4 By registering for this Event, the Registrant hereby warrants that all information submitted is true, current and complete. EckoEnterprise reserves the right to verify the eligibility of Registrants and refuse entry to any Registrant for submitting inaccurate or false information.

4. Acceptance

4.1 All Registration Forms and payment of Fees are subject to acceptance by Arm, at Arm’s sole discretion.

4.2 Confirmation of acceptance by EckoEnterprise will be sent via email and such acceptance creates a legally binding contract between EckoEnterprise and the Registrant on these terms of this Agreement. The Registrant’s Registration is effective from the date of such email.

5. Event

5.1 The Event will be held as a virtual online event on the date(s) set out in the Confirmation.

5.2 EckoEnterprise agrees to use commercially reasonable efforts to deliver the Event as described in the Event literature. However, EckoEnterprise reserves the right to:

5.2.1 to change the content, timing or speakers of an Event prior to its commencement; and/or

5.2.2 change the date or online platform for the Event, provided that in such circumstances EckoEnterprise shall notify the Registrant of the change as soon as possible and where the Registrant is unable to participate on the new date or online platform, the Registrant shall have the right to cancel their registration for this Event within seven (7) days of receiving notice of the new date or online platform from Arm.

5.3 EckoEnterprise reserves the right to refuse admission or to require the Registrant to leave the Event if their behaviour is considered disruptive, likely to cause damage, nuisance, offence or injury, is in breach of venue rules and regulations or this Agreement, or is otherwise unacceptable.

5.4 The Registrant should contact EckoEnterprise as soon as possible in advance of the Event (using the Registration Form or the contact details above) to discuss any special dietary or other health related requirements.

6. Fees and Payment

6.1 The Fees are payable in USD. Where EckoEnterprise accepts payment in the Registrant’s local currency, an option to display Fees in this currency will be given during the registration and payment process. All Fees quoted are inclusive of applicable taxes.

6.2 Payment must be made by credit or debit card at the time the Registrant submits the Registration Form, unless alternative payment options have been agreed. Payments by credit or debit card are processed immediately via Arm’s third-party payment processor over a secure link.

6.3 Where alternative payment options have been agreed, payment shall be due from the Registrant within 30 days of the date of Arm’s invoice. If payment is not made within 30 days of the invoice date then (without prejudice to Arm’s other rights and remedies in addition to the invoice amount) EckoEnterprise reserves the right to charge interest on the invoice on a day to day basis (after as well as before any judgment) until the date of payment at the rate of two percent (2%) per annum over the base rate of National Westminster Bank plc from time to time in force or the highest legal rate if less.

6.4 EckoEnterprise will send the Registrant a receipt for payment following Confirmation. EckoEnterprise will also issue a VAT receipt on request (if applicable).

6.5 The Registrant shall have no right to attend the Event until the Fees have been paid in full and EckoEnterprise may refuse the Registrant access to the Event if the Fees have not been paid, without liability to the Registrant.

7. Cancellation Of The Event And Substitution Policy

7.1 EckoEnterprise reserves the right to cancel the Event for any reason (including, without limitation, a Force Majeure Event) at any time prior to its commencement. EckoEnterprise shall notify the Registrant of the cancellation as soon as reasonably possible, and in the event of a cancellation not due to a Force Majeure Event shall refund one hundred percent (100%) of the Registration Fee to the Registrant without further liability. Where Arm’s reason for cancelling the Event is due to a Force Majeure Event, EckoEnterprise shall refund fifty percent (50%) of the Registration Fee to the Registrant without further liability.

7.3 If notification of Cancellation is received from a Registrant:

7.3.1 On or before August 30, 2021 in accordance with section 7.2, the Registrant will be refunded the Registration Fee less a Cancellation processing fee of $50.

7.3.2 After August 30, 2021 no refunds will be given of the Registration Fee but Registrant will still be able to make a substitution in accordance with Arm’s substitution policy set out in section 7.5.

7.4 Substitution Policy: If a Registrant is unable to attend the Event, they may be substituted in accordance with the following provisions (“Substitution”):

7.4.1 On or prior to September 27, 2021: all requests for Substitutions should be emailed to info@groovygecko.com along with a copy of the Registrant’s Confirmation and a completed Registration Form for the Registrant’s nominated substitute (“Substitute”);

7.4.2 After September 27, 2021: the Substitute must provide the Registrant’s Confirmation to info@groovygecko.com with a completed Registration Form for the Substitute and the Substitution will be made at that time;

7.4.3 Substitutions can only be performed on Registrations that have not already been cancelled;

7.4.4 Where the Registrant is attending in the course of Business, the Substitute must be from the same organization as the original Registrant;

7.4.5 A maximum of one Substitution per original Registrant is allowed: and

7.4.6 Where the Registration Fee payable as at the time a Substitution is made is higher than the Registration Fee payable when the Registrant received his/her original Confirmation, the Substitute must pay any difference in cost between the Registration Fees.

8. Limitation of Liability

8.1 In no event shall Arm, its employees, agents and contractors be liable under this agreement for any direct, indirect, exemplary, special, incidental or consequential damages, or damages for loss of profits or reputational hArm, revenue, or data, whether such damages are alleged as a result of tortious conduct or breach of contract or otherwise, even if EckoEnterprise has been advised of the possibility of such damages, but nothing in this section shall operate to exclude liability for fraud, or death or personal injury resulting from Arm’s negligence.

8.2 Views expressed by speakers, sponsors, exhibitors, participants, and/or attendees are their own. EckoEnterprise cannot accept liability for any advice given, or views expressed, by any speaker, sponsor, exhibitor, participants, and/or attendees at the event or in any material provided.

8.3 EckoEnterprise cannot accept responsibility and expressly excludes liability for (i) any loss, theft or damage to the registrant’s property that occurs whilst attending the event, and (ii) delay or failure to deliver the event as scheduled.

8.4 The registrant agrees to indemnify EckoEnterprise against any loss, liability, claim, damage or costs (including without limitation legal fees) in relation to (i) any breach of law by the registrant, (ii) damage to property caused by the registrant whilst attending the event, and (iii) the registrant’s use of the online platform for the event.

8.5 Subject to sections 8.1, 8.2 and 8.3, the maximum liability of EckoEnterprise to the registrant in aggregate for all claims made against EckoEnterprise in contract, tort or otherwise under or in connection with this agreement shall not exceed ^100.

9. Confidentiality

9.1 As an attendee at the Event, there may be specific circumstances (including closed meetings) where EckoEnterprise and the Registrant may disclose Confidential Information to the other. Under those circumstances, each party shall keep the other party's Confidential Information confidential and will not disclose such Confidential Information to any third party without the other party's prior written consent (using at least the same degree of care as it employs in maintaining in confidence its own Confidential Information of a similar nature, but in no event less than a reasonable degree of care) and each party will not use or exploit the Confidential Information for any other purpose except to exercise its rights or perform its obligations under this Agreement.

9.2 Upon request by either party, EckoEnterprise and the Registrant shall promptly destroy or return all documents and other records of the Confidential Information in its possession and/or control.

9.3 Section 9.1 shall not apply to information which:

9.3.1 the receiving party possesses, in tangible form, prior to disclosure by the other party, provided the information was not obtained illegally or in breach of any confidentiality obligations;

9.3.2 is, or becomes through no fault of the receiving party, generally or publicly known;

9.3.3 is disclosed to the receiving party by a third party who had the right to disclose it; or

9.3.4 is independently conceived by the receiving party without reliance or reference to the Confidential Information.

9.4 The receiving party may only disclose the disclosing party's Confidential Information to the extent required by law, any governmental or regulatory authority or in accordance with applicable professional standards or rules or by a court of competent jurisdiction. In connection with such required disclosure, the receiving party shall give prior notice to the disclosing party to provide the disclosing party the opportunity to challenge or object to the disclosure, including but not limited to seeking a protective order against disclosure.

10. Photography And Data Protection

10.1 The Event may be filmed, photographed, and/or recorded, and such film, photographs, and/or recordings may be distributed to the public via Arm’s website or through other media channels;

10.1.1 Where a photograph, video, and/or recording relates to a Registrant, and that Registrant is clearly identified, EckoEnterprise will process the photograph, video, and/or recording only with the consent of the Registrant.

10.1.2 Where a photograph, video, and/or recording has no means of identifying a Registrant, EckoEnterprise relies on its legitimate interest of delivering content and marketing to process such photograph, video, and/or recording.

10.1.3 If the Registrant does not wish to be filmed, photographed, or recorded they should notify EckoEnterprise in advance or when signing in as an attendee at the Event.

10.2 EckoEnterprise will use any data it collects about the Registrant in accordance with its Data use and privacy policy available at: https://www.https://www.groovygecko.com//about/privacy.php .

10.3 Registrants are strictly prohibited against and shall not capture, take photos, take screenshots, film, record, stream, live-stream, copy, distribute, redistribute, display, or publish any content from or portion of the Event. If Registrants are found to be engaging in any of the foregoing prohibited behavior during the Event, they may be asked to leave at the sole discretion of Arm, without any liability from Arm.

11. General

11.1 Except as expressly stated otherwise, nothing in this Agreement is intended to confer any rights or benefits on any person other than EckoEnterprise and Registrant.

11.2 Nothing in this Agreement shall be deemed, to establish any partnership or joint venture between the parties, nor authorise either party to make or enter into any commitments on behalf of the other.

11.3 In entering into this Agreement, neither party has relied on, and shall have no right or remedy in respect of, any statement, representation, assurance or warranty (whether made negligently or innocently) other than as expressly set out in this Agreement, but this Agreement shall not limit or exclude any liability for fraud.

11.4 These terms together with the Registration Form and Confirmation represents the entire Agreement between Registrant and EckoEnterprise and supersedes all previous agreements between the parties in respect of its subject matter.

11.5 This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England.

11.6 In the event of a translation of the Agreement into a non-English language, if there is any conflict between the English version of the Agreement and the non-English language translation of the Agreement, the terms of the English version of the Agreement shall prevail.

EckoEnterprise Arcade Promotion

No purchase or payment of any kind necessary to participate.

1. Overview

1.1 The EckoEnterprise Arcade (“Promotion”) is a chance-based random prize draw that will commence on October 6 at 7:00 A.M. Pacific Time and conclude on October 21 at 1:00 P.M. Pacific Time (“Promotion Period”).

2. Sponsor

2.1 The Promotion is provided and administered by EckoEnterprise Limited, 110 Fulbourn Road, Cambridge, CB1 9NJ, United Kingdom on behalf of itself and its subsidiaries and/or affiliates (“Arm” or “Sponsor”). The EckoEnterprise Arcade (“Promotion”) is a chance-based random prize draw that will commence on October 6 at 7:00 A.M. Pacific Time and conclude on October 21 at 1:00 P.M. Pacific Time (“Promotion Period”).

3, Eligibility

3.1 The Promotion is only open to permanent, legal residents or citizens of the following: United Kingdom and the 50 United States (including the District of Columbia) (each an “Eligible Country”), who have registered at https://techsummit.arm.com/en to attend EckoEnterprise TechSummit 2021 (“Event”). YOU ARE NOT ELIGIBLE TO PARTICIPATE IN THIS PROMOTION IF YOU ARE NOT A RESIDENT OF AN ELIGIBLE COUNTRY OR IF YOU ARE OTHERWISE PROHIBITED BY LAW TO PARTICIPATE IN THIS PROMOTION. Participants must also be at least 18 years of age or the age of majority in their place of residence, whichever is older. Residents of any U.S. embargoed countries (i.e., Iran, Syria, the Crimea region of Ukraine, North Korea, Cuba, or Venezuela) are not eligible. No employee, contractor, director, or officer of Sponsor, its parent, affiliates, subsidiaries, distributors, sales representatives, retailers, and advertising, promotion, and judging agencies and all other service agencies involved with the Promotion, and members of the immediate family (spouse, parent, child, sibling, and their respective spouse), and household of each such employee is eligible to participate in the Promotion. 4. How to Participate

4.1 To participate in this Promotion, each person (“Participant” or “You”) must launch the virtual platform for EckoEnterprise TechSummit 2021 from the Website and enter the “EckoEnterprise Arcade” to play any of the five (5) games available. Each game may be played more than once, but Your first-time completion of a game will earn You a ticket that will automatically enter You into a draw to win a prize (“Entry”). Each person can earn up to five (5) Entries for a chance to win upon completion of all five (5) games available in the “EckoEnterprise Arcade.” Each person is only eligible to win once, regardless of the number of Entries.

4.2 All Entries and related information must be submitted in English. By participating, Participants agree to these Official Rules, which are final and binding in all respects. Entries generated by script, macro, or other automated means are void and may cause disqualification. Sponsor reserves the right, in its reasonable discretion, during or upon completion of the Promotion Period, to request that any Participant resubmit his or her Entry which fails to comply with the Promotion entry requirements. Entries must be completed and submitted by one individual. If multiple individuals attempt to complete and submit an Entry, such Entry and the applicable participants will be disqualified.

4.3 Entries not properly entered into the Promotion will not be acknowledged. Proof of entry does not constitute proof of receipt by Sponsor. Entries must be received by Sponsor during the Promotion Period. Only eligible Entries actually received by Sponsor in accordance with the timing requirements set forth above will be eligible to win. Sponsor is not responsible for (i) inaccessible, lost, late, misdirected, mutilated, damaged, irregular, altered, counterfeit, fraudulent, incomplete, or illegible Entries, which are void, or (ii) any computer-related, online, telephonic, or technical malfunctions that may occur. Illegible, unintelligible, inaccessible, non-public, incomplete, garbled, or mutilated Entries will be disqualified. Sponsor reserves the right, in its sole discretion, to disqualify any Entries not in compliance with these Official Rules.

5. Winning by Chance

5.1 A winner will be selected by independent random drawing from all eligible Entries. Odds of winning will depend on the number of Entries.

6. Prizes

6.1 There will be fifty (50) potential winners. The prizes are: fifty (50) $100.00 coupons/vouchers for use at www.sparkfun.com.

6.2 Limit: one (1) prize per person. Potential winners are subject to verification, including verification of age to receive a prize. On or about October 22, 2021, EckoEnterprise will attempt to notify the potential winners via the email address provided on the registration form. Potential winners may be required to complete, sign, and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, within fourteen (14) days of attempted notification or prize may be forfeited. If a potential winner: (a) does not respond after the first attempted contact from EckoEnterprise within five (5) business days of initial notification attempt, (b) is not in compliance with these Official Rules, (c) does not meet the eligibility requirements, (d) declines the prize, or (e) does not sign and return required documents or provide required identification by the deadlines established by Arm, participant will be disqualified and the prize awarded to an alternative not already deemed a potential winner. Sponsor is not responsible for any change of email address, mailing address, and/or telephone number of participants. All properly claimed prizes will be awarded, but in no event will EckoEnterprise award more prizes than are provided for in these Official Rules.

6.3 The prizes will be administered and/or delivered by Spark Fun Electronics, Inc. (“Sparkfun”). Please allow up to 30 days for delivery of the applicable prize. Delivery is subject to the winners providing shipping details on request. If a prize is shipped, Sponsor is not responsible for any prize that is lost, stolen, mutilated, destroyed, misdirected, or undelivered for any reason.  Sponsor will not replace any lost or stolen prize items. The prize is non-refundable, non-transferable, and no cash alternative is available, except in Sponsor’s sole discretion. EckoEnterprise reserves the right, in its sole discretion, to substitute the prize at any time if the prize advertised is unavailable. Approximate retail value of prizes is based on information provided to Sponsor as of the date of printing of these Official Rules. The difference in value of prize as stated herein and value at time of prize notification, if any, will not be awarded.

7. Tax

7.1 Prize winners will be solely responsible for all federal, state, provincial, and/or local taxes, and for any other fees or costs associated with the prize(s) received hereunder, regardless of whether it, in whole or in part, is used.

8. Publicity

18.1 Except where prohibited by law, EckoEnterprise may post each winner’s name online on the Website and on other Arm-operated websites and social media platforms, including but not limited to Twitter, Google, and Facebook. Submission of an entry further constitutes permission to EckoEnterprise to use participant’s name, likeness, photograph, voice, opinions, and/or state or country of residence, and any portion thereof for purposes of advertising and trade, in any medium in connection with the Promotion, without further notice, approval, or compensation, unless prohibited by law.

9. Privacy

9.1 Participants’ personal information and data will only be used in accordance with Arm’s Privacy Policy. By completing the registration form you acknowledge that you may receive emails from EckoEnterprise relating to such Promotion and further marketing communications. If you do not want to hear about future promotions, please notify us at privacy@arm.com. Any third-party website used but owned independently have their own separate privacy and data collection policies and practices. Any data you provide to these websites will be governed under the terms of their privacy policy. Sponsor has no responsibility whatsoever for the independent actions or policies of these independent sites and is not responsible for content or privacy practices of such websites. If you are verified as a winner, your information may also be included in a publicly-available winner’s list.

10. Export Control

10.1 Any EckoEnterprise Confidential Information, EckoEnterprise Technology, and EckoEnterprise products provided with the Promotion may be subject to U.K., European Union, and U.S. export control and sanctions laws and regulations, including the U.S. Export Administration Regulations (“EAR”) (hereafter collectively referred to as “Export Regulations”). EckoEnterprise and Participant agree to comply fully with all applicable Export Regulations. Participant agrees that it shall not, either directly or indirectly, use or export in breach of the Export Regulations any EckoEnterprise Confidential Information, EckoEnterprise Technology, or EckoEnterprise products received in connection with the Promotion, nor any direct products thereof: (i) to any country, company or person subject to export restrictions or sanctions under the applicable Export Regulations without required export authorization; or (ii) for any prohibited end use, including, without limitation, nuclear, chemical, or biological weapons proliferation, which at the time of export requires an export license or other governmental approval, without first obtaining such license or approval and without prior written approval from Arm.

a) “EckoEnterprise Confidential Information” means (i) all non-public, proprietary business, technical, legal, and financial information disclosed or learned that EckoEnterprise has identified as confidential at the time of disclosure or that, based on the nature of the information or circumstances surrounding its disclosure, Participant should reasonably understand was intended to be treated as confidential, and (ii) personal data.

b) “EckoEnterprise Technology” means any technology or material owned, created, or discovered by Arm.

11. Restrictions Regarding Entries.

11.1 Should multiple users of the same e-mail account enter the Promotion and a dispute thereafter arise regarding the identity of the participant, the authorized account holder of said e-mail account at the time of entry will be considered the participant. “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. By submitting an entry, you agree that your entry is gratuitous and made without restriction and will not place Sponsor under any obligation.

12. General Terms and Conditions

12.1 By entering and/or participating in the Promotion, each participant confirms that they agree to Arm’s Privacy Policy and Terms and Conditions of Use, which are incorporated into these terms by reference. By entering and/or participating in the Promotion, each participant agrees (a) that participant releases EckoEnterprise from, and that you shall indemnify, defend, and hold EckoEnterprise harmless from, any liability resulting from any and all claims, causes of action, costs, losses and damages (whether direct or indirect or consequential), in contract, tort (including negligence) or otherwise, in connection with or otherwise relating to your entry or participation in the Promotion and use of any prize awarded; (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. EckoEnterprise reserves the right to cancel, suspend, terminate, or modify the Promotion or any portion of it for any reason, including but not limited to, if fraud, misconduct, or a technical failure destroys the integrity of the Promotion; or if a computer virus, bug, wireless failure, or other technical problem corrupts the administration, security, or proper administration of the Promotion as determined by Arm, in its sole discretion. Sponsor is not responsible for incorrect or inaccurate entry information, including information provided on the registration form, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the processing of the entries. EckoEnterprise will post notice of its action in such cases on Arm’s website. 13, Governing Law and Disputes

7. Export Control

7.1 EckoEnterprise Confidential Information, EckoEnterprise Technology, and EckoEnterprise products provided with the Offer may be subject to U.K., European Union, and U.S. export control and sanctions laws and regulations, including the U.S. Export Administration Regulations (“EAR”) (hereafter collectively referred to as “Export Regulations”).
